PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE BUZZFLOW PLATFORM. BY REGISTERING AN ACCOUNT, CLICKING 'I AGREE', INTEGRATING VIA API, OR ACCESSING ANY BUZZFLOW SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS IN FULL. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS.
1.1. "Platform" or "Buzzflow Service": means the proprietary cloud software, web dashboards, APIs, shared team inbox, automation builder, chatbots, analytics modules, and integrations provided by Buzzflow.
1.2. "Customer" or "User": means any individual, firm, enterprise, or legal entity that registers an account, purchases a subscription, or accesses the Buzzflow Platform.
1.3. "Meta / WhatsApp": means Meta Platforms, Inc., WhatsApp LLC, and their corporate affiliates.
1.4. "WABA": means WhatsApp Business Account configured and operated through the WhatsApp Business Cloud API or on-premises Business API infrastructure.
1.5. "Customer Data": means all contact lists, end-user phone numbers, chat logs, media assets, template parameters, broadcast content, and metadata uploaded to or transmitted through Buzzflow by the Customer.
1.6. "Template Messages": means pre-approved message formats required by Meta for initiating business-outbound conversations with WhatsApp end-users.
1.7. "Messaging Wallet": means the digital pre-funded credit balance maintained by Customer on the Platform to settle Meta conversation consumption fees and add-on utility usage in real time.
2.1. Buzzflow grants the Customer a non-exclusive, non-transferable, revocable, and limited right to access and utilize the Buzzflow SaaS platform for lawful commercial communication, automated customer support, and marketing broadcast management.
2.2. The Customer acknowledges that Buzzflow is an independent software solution provider facilitating access to third-party telecommunication and messaging interfaces, primarily the Meta WhatsApp Business API. Buzzflow does not own, operate, or maintain the underlying telecommunications networks, mobile carriers, or Meta data servers.
2.3. Buzzflow reserves the right to make functional enhancements, feature updates, bug fixes, and security upgrades to the platform at its sole discretion, provided that such modifications do not materially degrade core platform capabilities.
3.1. Strict Compliance Obligation: The Customer's access to the WhatsApp Business API via Buzzflow is strictly contingent upon full and continuous compliance with Meta's applicable terms, including WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and Meta Developer Terms and Acceptable Use Rules.
3.2. Independence from Meta Decisions: Buzzflow has no authority over Meta's discretionary review, approval, suspension, or termination decisions. Meta retains unilateral authority over template approvals, phone number quality scores, messaging tier limits, and WABA account suspensions.
3.3. Zero Liability for Meta Actions: Buzzflow shall bear no liability, financial or operational, for any suspension, block, downgrade, or permanent ban imposed by Meta on the Customer's WABA or registered telephone numbers.
4.1. Account Verification: The Customer is solely responsible for fulfilling Meta Business Manager verification requirements, submitting authentic business proofs, and provisioning authorized mobile/landline numbers capable of receiving OTPs.
4.2. Credential Protection: The Customer is fully responsible for maintaining the confidentiality of its login credentials, session tokens, and API secret keys. Any action, broadcast execution, or data manipulation performed under Customer credentials shall be deemed authorized by the Customer.
4.3. Phone Number Ownership and Migration: The Customer retains legal title and ownership of its registered phone numbers. Should the Customer choose to offboard or migrate to another provider, phone number migration shall follow Meta standard co-existence and embedded signup migration protocols.
5.1. Mandatory Prior Opt-In: The Customer expressly represents and warrants that it has secured valid, explicit, verifiable, and prior opt-in consent from each end-user recipient before sending any marketing, utility, or authentication messages via Buzzflow.
5.2. Prohibition of Cold Scraping and Purchased Lists: The Customer is strictly prohibited from uploading purchased, scraped, or publicly extracted databases of telephone numbers. Sending messages to individuals without valid opt-in constitutes a material breach of these Terms.
5.3. Immediate Opt-Out Handling: The Customer must provide recipients with a clear, functional opt-out mechanism (such as automated stop words including STOP, UNSUBSCRIBE, or EXIT) and immediately cease messaging recipients who revoke consent.
5.4. Prohibited Content Categories: The Customer agrees not to utilize Buzzflow to distribute illegal drugs, prescription pharmaceuticals without license, tobacco, weapons, explosives, adult entertainment, sexually explicit material, escort services, MLM schemes, fraudulent financial offerings, hate speech, or malicious software.
6.1. Template Category Compliance: All outbound business-initiated messages must use templates pre-approved by Meta under their correct category (Marketing, Utility, Authentication). Deliberate miscategorization of marketing content as utility is strictly prohibited.
6.2. Phone Number Quality Tiering: WhatsApp dynamically regulates messaging tier limits and quality status based on user block rates and report frequency. Buzzflow is not responsible for tier reductions or message rate limiting resulting from Customer campaign quality.
7.1. Fee Components: The fees payable by Customer consist of: (a) Platform Subscription Fees for SaaS features, user seats, workflows, and integrations; (b) Meta Conversation / Message Charges levied per Meta's country-specific rate card; and (c) Add-on Services for custom integration and dedicated support.
7.2. Prepaid Messaging Wallet: Meta conversation charges are deducted in real-time from the Customer's Buzzflow prepaid wallet. If the wallet balance falls below zero or the minimum operational threshold, automated message dispatching will pause until replenished.
7.3. Rate Adjustments: Meta periodically adjusts regional conversation pricing. Buzzflow reserves the right to pass through revised Meta messaging tariffs immediately upon official announcement by Meta.
7.4. Taxes and Non-Refundability: All quoted prices are exclusive of statutory taxes (including GST). Except where required by applicable law, all paid subscription fees and consumed wallet credits are non-refundable.
8.1. Customer Data Ownership: Customer retains all proprietary rights, title, and ownership in Customer Data. Customer grants Buzzflow a limited, non-exclusive license to process and host Customer Data solely to deliver agreed services.
8.2. Buzzflow IP Ownership: All software code, UI designs, workflows, algorithms, and trademarks associated with Buzzflow remain the exclusive intellectual property of Buzzflow.
8.3. Compliance with Data Protection Laws: Both parties adhere to applicable data privacy legislation, including the Digital Personal Data Protection Act, 2023 (India) and GDPR where applicable.
8.4. Technical and Organizational Safeguards: Buzzflow maintains industry-standard security protocols, including AES-256 encryption at rest, TLS 1.3 encryption in transit, role-based access controls, and regular vulnerability audits.
9.1. Target Uptime: Buzzflow aims to deliver an annual service availability uptime target of 99.5%, excluding scheduled maintenance windows.
9.2. Scheduled Maintenance: Buzzflow will provide reasonable advance notice for planned downtime, typically scheduled during non-peak business hours.
9.3. Downtime Exclusions: Downtime caused by upstream Meta API outages, telecom carrier network disruptions, Customer internet connectivity failures, or Force Majeure events shall not be counted towards platform downtime.
The Customer agrees to defend, indemnify, and hold harmless Buzzflow, its parent company, directors, officers, employees, and agents from any third-party claims, regulatory notices, fines, damages, or legal costs arising out of Customer's violation of Meta Business Policies, failure to obtain proper opt-in consent, or the nature and legality of Customer Data transmitted via Buzzflow.
11.1. Exclusion of Consequential Damages: Neither Buzzflow nor its affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption.
11.2. Aggregate Financial Cap: Buzzflow's total aggregate liability shall be strictly capped at the total subscription fees actually paid by the Customer in the three (3) months immediately preceding the event giving rise to the claim.
12.1. Immediate Suspension for Risk: Buzzflow reserves the right to immediately suspend Customer's account access without notice if fraudulent activity, high spam complaint rates, or security breaches are detected.
12.2. Termination for Convenience: Either party may terminate this Agreement by providing thirty (30) days prior written notice.
12.3. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision and fails to cure such breach within fifteen (15) days.
12.4. Data Export and Deletion: Upon termination, Customer shall have thirty (30) days to export its data. After this grace period, Buzzflow reserves the right to securely purge Customer Data in accordance with its data retention schedule.
13.1. Governing Law: These Terms shall be governed by and construed in accordance with the substantive laws of India.
13.2. Arbitration: Any dispute arising hereunder shall be resolved by binding arbitration conducted under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Indore, Madhya Pradesh, India. The proceedings shall be conducted in English.
13.3. Exclusive Court Jurisdiction: The courts situated at Indore, Madhya Pradesh shall have exclusive jurisdiction over any legal proceedings.
14.1. Entire Agreement: These Terms, together with any applicable Order Forms, Privacy Policy, and Data Processing Addendum, constitute the complete agreement between the parties.
14.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force.
14.3. Force Majeure: Neither party shall be liable for delay or failure in performance resulting from acts beyond reasonable control, including acts of God, strikes, telecom grid failures, cyber warfare, pandemics, or governmental orders.
